User Agreement

Welcome to Business First. Thank you for your willingness to use the Business First Platform. Business First provides various types of services, therefore some additional terms and conditions may apply when Users use the Business First services. By creating a Business First Account and/or using the Business First Platform, Users declare that they have read, understood, and agreed to these terms and conditions (“Terms of Use”)

These Terms of Use may be changed or updated in part or in whole from time to time without prior notice to Users, and will be effective from the time they are uploaded to the Application and/or when Users agree to these Terms of Use. We recommend that Users check the Application for any changes to these Terms of Use from time to time. By continuing to access or use the Business First Services, Users are deemed to agree to the changes to these Terms of Use. If Users do not agree to the changes to the Terms of Use, Users can contact Business First to terminate their Business First Account. These Terms of Use contain an agreement between Business First and Users. Please read these Terms of Use carefully.

1. Definitions
1.1 Business First Application: A digital platform that connects users with various brands/franchises for business or partnership purposes.
1.2 Users: Parties who access and/or use the Application services, either as business information seekers or as brand owners.
1.3 Brand Partners: Brand owner partners who partner with Business First to be promoted through the application.

2. Business First Services
2.1 Franchise
A form of business cooperation between a brand owner or business system (franchisor) and another party (franchisee) who is given the right to use a trademark, operational system, and other business support for certain compensation based on the agreement.
2.2 Distributors:
Parties or business entities that obtain products or services from the main producer and distribute them to retailers, end users, or sub-distributors, usually in large volumes. Distributors act as a liaison between producers and the market.
2.3 MSMEs (Micro, Small, and Medium Enterprises):
A business unit owned by an individual or small business entity with a certain scale of turnover and assets in accordance with laws and regulations, which has an important role in driving local and national economic growth.
2.4 IT Services:
Service providers related to technology solutions, such as software development, network infrastructure, cybersecurity, system maintenance, and cloud-based services, for both individual and corporate users.
2.5 Law Firm:
A business entity that provides legal services, including but not limited to litigation assistance, legal consultation, preparation of legal documents, and legal representation for both individuals and other business entities.

3. User Accounts
3.1 To access certain features, you must register and create an account.
3.2 You are responsible for the confidentiality of your account and password.
3.3 You represent that all information you provide is accurate and complete.

4. User Rights and Obligations
4.1 Users agree not to use the Business First Service to conduct transactions or actions that violate the law or applicable laws and regulations.
4.2 Violate the rights of Business First or Third Parties, including but not limited to privacy rights, copyrights, trademarks, patents, trade secrets, or other intellectual property rights, as well as contractual rights or other rights protected under applicable laws and regulations; intentionally and without rights or unlawfully in any way change, add, reduce, transmit, damage, remove, move, hide any Electronic Information in connection with the Business First Service.
4.3 It is prohibited to upload or distribute misleading, offensive, or unlawful content.
4.4 The User declares and warrants that the User is legally competent and authorized to perform legal acts according to the laws of the Republic of Indonesia, including to bind themselves to and implement all the terms and conditions in these Terms of Use.

5. Content and Intellectual Property Rights
5.1 The User or the User’s representative does not obtain any ownership rights or intellectual property rights, including but not limited to patents, copyrights, trademarks, trade secrets, for the content available on the Business First Service (including but not limited to all information, software, information, text, letters, numbers, color arrangements, images, logos, names, videos and audio, features, and design selection and arrangement). The User agrees not to use Business First’s intellectual property rights without prior written consent from Business First. The User acknowledges that any attempt or actual violation of the provisions related to these intellectual property rights will result in the termination of all User rights related to the Business First Service

6. Responsibilities and Limitations
6.1 The User understands that Business First does not provide any representation or warranty in any form that the Use of the Business First Service will always be timely, always work without interruption, or always be free from changes, additions, reductions, transmissions, damages, losses, transfers, hiding caused by the actions of a party intentionally and without rights or against the law.
6.2 The Business First Service can continue to operate and be used in conjunction with other party devices or systems that are not provided or owned by Business First; and/or the Business First Service will always meet the User’s expectations.
6.3 The User agrees that Business First is not responsible for any consequences or losses arising from the matters as mentioned above, including but not limited to: (i) loss of data; (ii) loss of income, profits, or other income; and/or (iii) loss, damage or injury arising from the User’s use of the Business First Service.
6.4 The User agrees to release Business First from any claims, demands, lawsuits, and compensation whatsoever and from any party arising in connection with: The use of information or Personal Data by Business First based on these Terms of Use, or based on the agreement, acknowledgement, authority, power, and/or rights that the User has given to Business First.

6.5 The provision of information or Personal Data by the User to Business First that is carried out in violation of applicable laws or regulations, violates the rights (including intellectual property rights) of any other party, or violates any contract, agreement, statement, decision, or document to which the User is a party or is bound by it.

6.6 Unauthorized use of the Business First Service, violates applicable laws and regulations, the rights (including intellectual property rights) of any other party, or violates any contract, agreement, statement, decision, or document to which the User is a party or is bound by it, or violates these Terms of Use.

7. Security and Confidentiality
7.1 Business First makes careful security and storage efforts to protect the confidentiality of User Personal Data from time to time.
7.2 Any content (including messages) uploaded and sent by Users through the Business First system in connection with the Business First Service will be stored securely and sent confidentially using industry electronic information security standards.
7.3 Business First will provide notification to Users in the event of a failure to protect the confidentiality of User Personal Data in the Business First electronic system in accordance with applicable laws and regulations.
7.4 Business First maintains access to all data and information, including but not limited to recordings of conversation messages, Personal Data or Electronic Documents that Users upload through the User’s Business First Account through the Business First system in connection with the Business First Service so that only Users and other parties that Users grant permission can access and/or view such data and information.
7.5 The User understands that it can provide access or disclose User data and/or information, including but not limited to Electronic Documents or recordings of User conversation messages in order to comply with legal provisions and/or statutory regulations, in the context of law enforcement processes or taking further preventive measures in connection with unauthorized activities, suspected criminal acts or violations of laws or statutory regulations.

8. Termination
8.1 In the event that the User wishes to terminate the use of the Business First Service, the User must close the User’s Business First Account and be subject to the Business First Account termination provisions. The User’s Business First Account will be valid without a time limit except in the event that the User sends a written request to the Business First e-mail address listed in these Terms of Use to close/terminate the use of the User’s Business First Account.
8.2 The User understands that in the event of a written request to terminate the Business First Account from the User, Business First may require prior verification and request some additional data. In the event that the verification carried out by Business First is unsuccessful, Business First has the right to reject the request.

9. Changes to Terms
9.1 This Agreement may be updated at any time. The latest version will be displayed in the Application and will be effective immediately upon publication.

10. Applicable Law
10.1 These Terms of Use are governed by and construed under the laws of the Republic of Indonesia. Users and Business First Services agree that any dispute or disagreement arising from or relating to matters stipulated in these Terms of Use (including any dispute or disagreement caused by any unlawful act or violation of one or more terms and conditions in these Terms of Use) (“Dispute”) will be resolved in the following manner: Users must provide written notification to the Third Party that a Dispute has occurred (“Dispute Notification”). Disputes must be resolved through mutual consultation within a maximum of thirty (30) calendar days from the date of the Dispute Notification (“Dispute Resolution Period”);
10.2 If the Dispute cannot be resolved through mutual consultation until the end of the Deliberation Settlement Period, the First Party and the Second Party agree that the Dispute will be referred to and resolved by the Indonesian National Arbitration Board (“BANI”) according to the arbitration procedure rules at BANI
